These Terms of Use form a legally binding agreement between you and XIA TECHNOLOGIES LTD. for access to Pocket Archive, the website at www.pocketarchive.io, the mobile app, and related services.
Before using Pocket Archive: By accessing the Services, you agree that you have read, understood, and accepted these Legal Terms. If you do not agree, you must discontinue use immediately.

Your documents remain your responsibility

Agreement to our legal terms
We are XIA TECHNOLOGIES LTD., a company registered in Canada at 42 Warrington Way, Markham, Ontario L6C0B8. We operate the website www.pocketarchive.io, the mobile application Pocket Archive, and related products and services that refer or link to these Legal Terms.
Pocket Archive is a document management and archive service that helps users capture, upload, store, organize, search, and retrieve personal or business documents. The service may process documents, images, text, metadata, tags, search queries, and related content to provide document synchronization, optical character recognition, indexing, AI-assisted search and answers, usage reporting, data export, and account management.
Pocket Archive is intended to help users preserve and work with their own records. Users remain responsible for documents and content they upload, including ensuring they have the rights and permissions to store and process that content through the service. OCR, metadata extraction, search, and AI-assisted outputs may be incomplete or inaccurate, and users should independently verify important information before relying on it.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity, and XIA TECHNOLOGIES LTD. We will provide prior notice of scheduled changes to Services you use. Modified Legal Terms become effective upon posting or notification by noreply@pocketarchive.io. Continued use after the effective date means you agree to the modified terms.
The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.
Section 1
Our services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or would subject us to registration requirements. Users who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or similar requirements. If your interactions would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act.

Intellectual property rights
Our intellectual property
We are the owner or licensee of intellectual property rights in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos. The Content and Marks are protected by copyright, trademark, and other intellectual property laws in the United States and around the world.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any properly accessed Content solely for personal, non-commercial use or internal business purpose.
No part of the Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for commercial purposes without our express prior written permission.
Your submissions
By sending us questions, comments, suggestions, ideas, feedback, or other information about the Services, you agree to assign us all intellectual property rights in those Submissions. You are responsible for what you submit and must not submit anything illegal, harassing, hateful, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, misleading, or infringing.

User representations
By using the Services, you represent and warrant that registration information you submit will be true, accurate, current, and complete; that you will maintain the accuracy of such information; that you have legal capacity and agree to comply with these Legal Terms; that you are not a minor where you reside; that you will not access the Services through automated or non-human means; that you will not use the Services for illegal or unauthorized purposes; and that your use will not violate applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.
Section 4
User registration
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We may remove, reclaim, or change a username if we determine that it is inappropriate, obscene, or otherwise objectionable.
Section 5
Purchases and payment
We accept Visa, Mastercard, PayPal, American Express, and Discover. You agree to provide current, complete, and accurate purchase and account information, and to promptly update account and payment information so we can complete transactions and contact you as needed. Sales tax will be added as deemed required. We may change prices at any time, and all payments are in Canadian dollars.
You agree to pay all charges at the prices then in effect for your purchases and any applicable fees, and authorize us to charge your chosen payment provider. We reserve the right to correct pricing errors, refuse orders, and limit or cancel quantities purchased per person, household, or order.
Section 6
Subscriptions
Billing and renewal
Your subscription will continue and automatically renew unless canceled. You consent to recurring charges to your payment method without requiring prior approval for each charge until you cancel the applicable order. Billing cycle length depends on the subscription plan you choose.
Free trial
We offer a 30-day free trial to new users who register with the Services. The account will be charged according to the user's chosen subscription at the end of the free trial.
Cancellation
You can cancel your subscription at any time by logging into your account. Cancellation takes effect at the end of the current paid term. Questions or concerns may be sent to support@pocketarchive.io.
Fee changes
We may make changes to subscription fees and will communicate price changes in accordance with applicable law.
Section 7
Prohibited activities
You may not access or use the Services for any purpose other than that for which we make them available. The Services may not be used for commercial endeavors except those specifically endorsed or approved by us.
As a user, you agree not to:
- Systematically retrieve data or content to create a collection, compilation, database, or directory without written permission.
- Trick, defraud, or mislead us or other users, especially to learn sensitive account information.
- Circumvent, disable, or interfere with security-related features.
- Disparage, tarnish, or otherwise harm us or the Services.
- Use information from the Services to harass, abuse, or harm another person.
- Misuse support services or submit false reports.
- Use the Services in a manner inconsistent with laws or regulations.
- Engage in unauthorized framing or linking.
- Upload viruses, spam, spyware, passive collection mechanisms, or other disruptive material.
- Use scripts, robots, scrapers, data mining tools, or other automated systems.
- Delete copyright or proprietary rights notices from Content.
- Impersonate another user or person.
- Interfere with, disrupt, or burden the Services or connected networks.
- Harass, annoy, intimidate, or threaten employees or agents.
- Bypass measures designed to prevent or restrict access.
- Copy, adapt, decipher, decompile, disassemble, or reverse engineer Services software except where permitted by law.
- Use a buying or purchasing agent to make purchases.
- Collect usernames or email addresses for unsolicited email or create accounts by automated means or false pretenses.
- Use the Services to compete with us or for unauthorized revenue-generating activity.
Section 8
User generated contributions
The Services do not offer users the ability to submit or post content publicly, but we may provide opportunities to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or through the Services.
When you create or make Contributions available, you represent that they do not infringe third-party rights, that you have all necessary rights and permissions, that identifiable individuals have consented where required, and that the Contributions are not false, misleading, unlawful, obscene, harassing, abusive, discriminatory, threatening, spam, or otherwise in violation of these Legal Terms.
Any use of the Services in violation of the foregoing may result in termination or suspension of your rights to use the Services.
Section 9
Contribution license
You and the Services agree that we may access, store, process, and use information and personal data you provide according to the Privacy Policy and your choices, including settings.
By submitting suggestions or feedback, you agree that we may use and share that feedback for any purpose without compensation. We do not assert ownership over your Contributions. You retain ownership and are solely responsible for your Contributions, and you agree to refrain from legal action against us regarding your Contributions.
Section 10
Mobile application license
Use license
If you access the Services through the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on those devices in accordance with these Legal Terms.
You may not decompile, reverse engineer, disassemble, derive source code, decrypt, modify, adapt, improve, translate, or create derivative works from the App; violate laws through App use; remove proprietary notices; use the App for revenue-generating purposes for which it was not intended; make the App available over a network for multiple users; build a competing product; send automated queries or unsolicited email; or use our proprietary information or interfaces to build related applications, accessories, or devices.
Apple and Android devices
When the App is obtained from Apple Store or Google Play, the license is limited to use on Apple iOS or Android devices under the applicable App Distributor terms. App Distributors have no maintenance or support obligations for the App, may handle certain warranty remedies under their policies, and are third-party beneficiaries of these mobile application license terms.
Section 13
Privacy policy
We care about data privacy and security. Please review our Privacy Policy at pocketarchive.io/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
The Services are hosted in the United States. If you access the Services from another region with different data protection requirements, your continued use transfers your data to the United States and constitutes express consent to have your data transferred to and processed in the United States.
Section 14
Term and termination
These Legal Terms remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services, including blocking certain IP addresses, for any reason or no reason, including breach of these Legal Terms or applicable law.
We may terminate your use or participation in the Services or delete your account and any content or information you posted at any time. If your account is terminated or suspended, you may not register a new account under your name, a fake or borrowed name, or the name of a third party.
Sections 16-17
Governing law and dispute resolution
These Legal Terms are governed by and defined following the laws of Canada. XIA TECHNOLOGIES LTD. and you irrevocably consent that the courts of Canada have exclusive jurisdiction to resolve disputes arising in connection with these Legal Terms.
The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Any dispute arising out of or in connection with these Legal Terms shall be referred to and finally resolved by arbitration seated in Toronto, Canada, in English, under the substantive law of Canada.
Arbitration is limited to the dispute between the parties individually. No arbitration may proceed as a class action or in a representative capacity. Certain disputes concerning intellectual property rights, privacy, unauthorized use, or injunctive relief are excluded.
Sections 18-22
Corrections, disclaimer, liability, indemnification, and user data
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We may correct or update information at any time without prior notice.
The Services are provided on an as-is and as-available basis. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event will we or our directors, employees, or agents be liable for direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services.
You agree to defend, indemnify, and hold us harmless from claims arising from use of the Services, breach of these Legal Terms, breach of your representations and warranties, violation of third-party rights, or harmful acts toward another user.
We maintain certain data that you transmit to the Services to manage Services performance, as well as data relating to your use of the Services. Although we perform regular routine backups, you are solely responsible for data you transmit or that relates to activity you undertake using the Services.
